| Evans-Pughe Strings of Hitchin: Terms and Conditions of Trading |

| 1. |
General. In these conditions The Company means Evans-Pughe Strings of Hitchin Ltd. Contracts and orders can only be accepted upon and subject to our Conditions of Sale as set out hereunder. Where the Purchaser’s written conditions and warranties conflict with these conditions, the Company’s conditions shall prevail unless otherwise specifically agreed in writing. Nothing in these conditions will deprive the Purchaser of any rights granted by statute in the United Kingdom. |

Quotations. All quotations are open for acceptance within 30 days of offer and are withdrawn at the expiry of this period. The Company reserves the right at any time to refuse any order. When entering into a Rental Agreement the purchaser will be subject to the terms and conditions of the contract. |

Delivery. Delivery will be to the address shown on the Purchaser’s invoice unless agreed otherwise in advance. All delivery dates quoted are an estimate only. The Company shall not be liable for any consequential loss or damage or in any manner whatsoever for failure in delivery when any circumstances prevented, hindered or delayed delivery. |

Losses and Damage in Transit. All losses and damage in transit must be reported to the carrier and the Company within 48 hours of receipt of goods or delivery note. Any damage to goods requiring the Purchaser to sign for them upon receipt should be noted on the carrier’s delivery docket if damage is evident or suspected upon delivery, including damage to packaging. No claims can be entertained for damages if the Purchaser requests goods to be left at an address, unsigned for. |

Returns. Returns can only be accepted by prior arrangement with the Company. |

Passing of Property. The risk in the goods passes on delivery but beneficial ownership shall remain with the Company until full payment is received. Legal title to the goods shall remain with the Company until such time as the Company has received payment of the price of the goods and any other goods and services previously or subsequently supplied to the Purchaser. |

Prices and Payment. All prices are subject to the standard Value Added Tax except in the case of ‘Special Scheme’ invoices raised for pre-owned goods, against which VAT cannot be reclaimed. The Company reserves the right to charge interest at the rate of 3% above the Bank of England base rate, per month, on all overdue accounts without prejudice to its right of recovery of the goods. Any discounts allowed are valid only for payment within our terms. |

Guarantee and Repair. The Company will guarantee the goods to the extent of any guarantee it receives from the manufacturers or specific guarantees given on products and services supplied by the Company. |

| 9. |
The Company shall have no liability whatsoever in respect of any delay or failure in delivery of any goods, or in performing any of the Company’s services or other obligations, due directly or indirectly to any cause of whatever nature, outside the reasonable control of the Company. |

| 10. |
Severability. In the event that any of these Conditions or any part thereof shall be determined invalid, unlawful or unenforceable to any extent, such Condition or part shall be severed from the remainder of these Conditions which shall continue to be valid to the fullest extent permitted by law. |

| 11. |
Applicable Law. Any contract entered into or trading transaction made by the Company will be governed by the Laws of England and be subject to the jurisdiction of the English Courts. |
